OFFICIAL RULES

PROMOTION OPEN TO LEGAL RESIDENTS OF THE U.S. AND THE DISTRICT OF COLUMBIA, 18 YEARS OF AGE OR OLDER AT TIME OF ENTRY. U.S. LAWS GOVERN THIS PROMOTION. VOID IN PUERTO RICO AND WHERE PROHIBITED. PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

1: CONTEST DETAILS: NO PURCHASE NECESSARY
The Prego “It's In There ®. What's Inside You?” Contest (the “Contest”) begins at 12:00:00 AM ET 8/01/07 and ends at 11:59:59 PM ET 4/30/08 (“Contest Period”). Participants may submit an essay or video which tells what you enjoy doing or what you are passionate about. Tips to help you discover a passion that's inside you can be found at www.prego.com. Entries can only be submitted online at www.prego.com during the Contest Period.

2: HOW TO ENTER:
Go to www.prego.com anytime during the Contest Period and click on the Contest Icon, complete the registration form then click on either the essay or video icon to submit your entry. Entry is defined, for purposes of this Contest, as a completed online registration form plus an essay or video submission. Entries must be original, written/spoken in the English language and must clearly express and respond to the contest title/theme, “It's In There ® What's Inside You?” as described above. To submit an essay, in 200 words or less type in or paste your essay in the space provided then click Submit. To submit a video, make a video in either AVI or MOV movie file format, follow the instructions to upload it and click Submit. Only AVI or MOV file formats will be accepted. The Maximum file size accepted is 10MB and the video cannot exceed 2 minutes. Entries which do not meet these criteria will not be eligible. One entry per person, per email address, per month. Group entries not eligible. If duplicate entries are received from the same person/email address in the same Judging Period, only the first entry received will be accepted. Mail, messenger or personally delivered entries will not be accepted. Each person who submits an Entry fully and unconditionally agrees to comply with and abide by these Official Rules and the decisions of the judges, Campbell Soup Company ("Sponsor"), and Marden-Kane, Inc., an independent judging organization (“Administrator”), which shall be final and binding in all respects.

3: ELIGIBILITY:
This promotion is open to legal residents of the 50 United States, including the District of Columbia, aged 18 or older at the time of entry. Employees or agents of Sponsor, Administrator and their respective subsidiaries, divisions, affiliates, advertising agencies, and members of their immediate families, including their household members, are not eligible. If prize is won by a minor, it will be awarded in minor's name to their parent or legal guardian who must sign all required documents. Void in Puerto Rico & wherever prohibited or restricted. Subject to all federal, state and local laws and regulations.

4: MONTHLY JUDGING/NOTIFICATION SCHEDULE:
Eligible entries received will be judged on a monthly basis as noted below on the “Monthly Judging Schedule”. To be eligible for a Judging Period, entries must be submitted between 12:00:00 AM ET of each start date and 11:59:59 PM ET of each ending date for any of the Judging Periods listed below. The entries will be judged on a monthly basis. If your entry is not selected as a winner in the Judging Period entered in, it will be void and not be carried over to the next Judging Period. To submit the same entry in more than one Judging Period, you must confirm your original registration information then re-submit the entry each time.

5: CONTEST RESTRICTIONS:
Entrant cannot be a professional writer or film-maker/videographer. Entry must be entrant's original creation, executed solely by entrant & may not have been published previously or won any other award. The right to submit it must not be restricted in any way. Entry cannot defame, infringe or violate publicity or privacy rights of any person, living or deceased, or otherwise infringe upon any person's, entity's or organization's personal or proprietary rights, including but not limited to, intellectual property rights. Modifying, enhancing or altering a third party's pre-existing work does not qualify as entrant's original creation. Entries must be in “good taste” and in keeping with Prego Italian sauce's brand image and may not be offensive, as determined in the sole discretion of the Contest judges or Sponsor. Sponsor's right to use the Entry shall not be restricted. Any entrant, whose Entry includes the name, image, voice, sound effects, music, visual effects, picture or likenesses of a third party or element not owned by the entrant, such as, but not limited to depictions of buildings, trademarks or logos, ("Third Party Elements") must be able to provide legal releases for unrestricted use of all Third Party Elements by Sponsor in a form satisfactory to Sponsor at the time of prize notification. Entries that are incomplete or do not comply with these Official Rules in any way are subject to disqualification. No correspondence regarding entries will be acknowledged or exchanged with entrants except as provided herein. Upon submission of an entry, entrant grants Sponsor the right to use, publish, adapt, assign, edit, dispose of, and/or modify such entry and the concepts and Third Party Elements embodied therein in any way, in commerce, in perpetuity and in any and all media worldwide, without limitation or approval by or compensation to the entrant and entrant may be required to sign a release to that effect. Submission of an entry further constitutes the entrant's consent to irrevocably assign and transfer to the Sponsor any and all rights, title, interest and claim, which he/she now has or may have in the future, to the entry, and the concepts and Third Party Elements embodied therein, including without limitation, the copyright therein. Such rights, title and interest shall include, but are not limited to, all intellectual property, sales, and licensing rights. Upon submission, all entries will become the sole property of the Sponsor and will not be returned or acknowledged. By entering, entrant agrees to not upload, download, distribute, disseminate, copy, reproduce or otherwise cause to be on any public web site.

6: JUDGING CRITERIA:
All Entries will be judged based on the following criteria: Originality (40%); Sincerity and credibility of statement (30%); and Expression of theme (30%) (“Criteria”). Winners will be selected by a panel of expert judges, Sponsor Representatives (collectively, "Contest Judges") under Administrator's supervision. The Judges will select the top scoring entry from among all eligible entries received for each Judging Period. This process will be repeated for each of the Judging Periods to determine the nine Monthly Winners. If no eligible entries are received in any Judging Period there will be no Winner for that month. Limit of one Monthly Prize per person/email address. The Grand Prize winner will be chosen using the Criteria from among all Monthly Winners, on or about 5/19/08. In the event of a tie, in any of the Judging Periods or the Grand Prize judging, the tied entries will be judged according to the Criteria by an additional Judge who will serve as a tiebreaker. Decisions of Judges are final and binding on all matters relating to this Contest. Prize Winners are subject to verification of eligibility and compliance with these Official Rules.

7: PRIZES:
(1) Grand Prize: Prego ® Italian sauce will award the Grand Prize Winner a check in the amount of $5,000 to help them discover their passion. (9) Monthly Prizes: $500 will be awarded in the form of a check to each Monthly Winner. Total cash value of all prizes offered in this Contest $9,500. No prize substitution, transfer, or assignment of prizes allowed, except at the sole discretion of the Sponsor. All taxes and any other expenses associated with the prize and not specified herein are the winner's sole responsibility. All prizes will be awarded as long as there are a sufficient number of eligible entries received during each Judging Period.

8: PRIZE NOTIFICATION:
Potential Monthly Winners will be notified by mail and/or e-mail by the Administrator on or about the notification date listed in Rule #3. If the Administrator does not receive a reply within ten days from date of notification, the prize will be forfeited, and an alternate winner will be selected. Monthly Prizes will be sent via First Class mail within 4-6 weeks from date of Administrator's receipt of winner's confirmation.   The potential Grand Prize Winner will be notified on or about 5/20/08 via overnight courier. The potential Grand Prize Winner will be required to complete and return an Affidavit of Eligibility and Liability and (where legal) a Publicity Release, within ten calendar days. If the above documents are not received within the specified time period, if the prize notification is undeliverable, or in the event of noncompliance with the Official Rules, the prize will be forfeited and awarded to an alternate winner. By entering the Contest, entrants agree to use by Sponsor and its designees of their name and photograph/likeness for advertising, promotional and other purposes, worldwide and in perpetuity, in any and all forms of media, now known or hereafter devised (including and without limitation, the Internet) without additional compensation, except where prohibited by law.

9: INTERNET:
If for any reason this Promotion is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Promotion, the Sponsor reserves the right in its sole discretion to cancel, terminate, modify or suspend the Promotion in whole or in part, at any time, without notice and award the prizes using all non-suspect eligible entries received as of this termination date. Sponsor also reserves the right to disqualify any individual who is suspected of tampering with the entry process. Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. The Sponsor is not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by Sponsor on account of technical problems, printing, typographical or other human error or traffic congestion on the Internet or at any Website, or any combination thereof, including any injury or damage to entrants or any other person's computer relating to or resulting from participation in this Promotion or downloading any materials in relating to this Promotion.   CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON (S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. Entry can only be made via one e-mail address per person. In the event of a dispute as to the identity of a winner based on an e-mail address, the winning entry will be declared made by the authorized account holder of the e-mail address submitted at time of entry.  “Authorized account holder” is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.
